Terms of Service

These Terms govern your use of Thor, a personal financial assistant operated globally. Please read carefully — they include a binding arbitration clause and class action waiver (Section 14).

Quick summary: Thor helps you organize personal expenses with AI. It is not a bank, brokerage, or financial advisor. Free tier is free; Premium is billed in USD via Stripe or via Apple App Store (depending on platform). Subscriptions auto-renew until cancelled. You agree to resolve disputes by individual binding arbitration (Section 14).

1. Acceptance of Terms

By downloading, installing, accessing, or using the Thor mobile application or website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

These Terms form a binding contract between you ("User", "you") and 66.709.390 BRUNO OSORIO GONCALVES, a Brazilian sole proprietorship registered under CNPJ 66.709.390/0001-81 (hereinafter "Thor", "we", "us", "our").

2. Service Description

Thor is a personal financial assistant that lets you record and organize personal expenses using low-friction inputs:

  • Voice / audio recordings (transcribed automatically);
  • Short natural-language text;
  • Images (receipts, invoices, conversation screenshots).

Thor uses artificial intelligence to interpret your inputs and suggest amounts, categories, and descriptions. You confirm every entry manually before it's saved as a record.

2.1. What Thor is NOT

Thor expressly disclaims being any of the following:

  • A bank, financial institution, payment institution, or banking correspondent;
  • An investment advisor, broker-dealer, or fiduciary;
  • A money transmitter or money services business;
  • A tax, accounting, legal, or insurance advisor;
  • A connection to your bank accounts via Open Banking, Plaid, or similar (in V1).

Thor is an organizational tool. All financial decisions are yours alone.

3. Eligibility

To use Thor, you represent that you:

  • Are at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher;
  • Have full legal capacity to enter binding contracts;
  • Are not barred from using the Service under applicable export controls or sanctions (e.g., OFAC, EU sanctions lists).

4. Your Account

You are responsible for safeguarding account credentials and for all activity under your account. Notify us immediately at suporte@meuthor.com.br of any unauthorized access.

5. License Grant

Subject to these Terms, Thor grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Service on devices you own or control, solely for your personal, non-commercial use.

6. Prohibited Conduct

You agree NOT to:

  • Use the Service for unlawful, fraudulent, harmful, or abusive purposes;
  • Submit third-party content without authorization (e.g., receipts or messages that don't belong to you);
  • Reverse engineer, decompile, disassemble, or attempt to derive source code;
  • Circumvent security, authentication, or access control mechanisms;
  • Use bots, scrapers, or automated means to access the Service;
  • Overload, attack, or disrupt the Service or its infrastructure;
  • Use the Service to collect, store, or process third-party personal data without a lawful basis;
  • Resell, sublicense, or commercially exploit the Service;
  • Violate any applicable law (including financial, tax, or anti-money-laundering regulations).

7. User Content

You retain ownership of content you submit (audio, images, text, "User Content"). You grant Thor a worldwide, royalty-free, non-exclusive license to use, store, process, and transmit User Content solely to operate the Service for you. This license terminates when you delete the content or close your account, except where retention is required by law.

You represent that you have all necessary rights to submit User Content and that it does not infringe third-party rights or violate any law.

8. AI Features

Thor uses third-party AI providers (currently OpenAI) for transcription, image understanding, and extraction. You acknowledge:

  • AI outputs are suggestions, not guarantees of accuracy;
  • You must review and confirm every extraction before saving;
  • Thor is not liable for losses from incorrect records that you confirmed;
  • Submitted content is sent to OpenAI for processing (not for model training — see Privacy Policy).

9. Subscription, Pricing & Billing

Thor offers a free tier and a paid Premium tier.

  • Pricing: Premium is billed in USD by default. Prices in BRL, EUR, GBP and other currencies are shown in-app for convenience and may reflect local taxes and Apple/Stripe FX. The applicable price is the one displayed at the time of purchase.
  • Billing platform: Subscriptions purchased in the iOS App are billed by Apple under Apple's terms. Subscriptions purchased on the web are billed by Stripe.
  • Auto-renewal: Subscriptions renew automatically for the same period (monthly or annual) unless cancelled at least 24 hours before the renewal date.
  • Cancellation: Cancel anytime in the app settings (App Store subscriptions: via Apple ID settings; web subscriptions: via Stripe customer portal). Cancellation takes effect at the end of the current paid period — no partial refunds.
  • Price changes: We may change Premium pricing with at least 30 days' notice via email or in-app. New prices apply from your next renewal. Continued use after the notice period constitutes acceptance.
  • Taxes: Prices may or may not include applicable taxes (sales tax, VAT, GST, ISS, etc.) depending on jurisdiction. Where required, taxes are added at checkout.

10. Refunds

  • iOS App Store purchases: Refund requests must be submitted directly to Apple via reportaproblem.apple.com. Apple's refund policies apply.
  • Web/Stripe purchases (EU/UK consumers): You have the right to withdraw within 14 days of subscribing under the EU Consumer Rights Directive — unless you have started using Premium features, in which case you waive the right by starting to use them.
  • Web/Stripe purchases (other regions): Refunds are not generally provided after the first 14 days, but we evaluate good-faith requests case by case. Email suporte@meuthor.com.br.
  • Brazilian consumers (CDC): You have a 7-day right of regret for online purchases under Brazilian Consumer Protection Code.

11. Intellectual Property

All intellectual property in the Service — including the Thor name, logo, mascot, design, source code, content, and documentation — is owned by 66.709.390 BRUNO OSORIO GONCALVES, protected by Brazilian and international copyright, trademark, and trade secret laws (including the U.S. Copyright Act, EU Directive 2001/29/EC, and Berne Convention).

No license is granted except as expressly stated in Section 5.

12. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.

Thor does not warrant that AI outputs are accurate, complete, or suitable for any specific purpose. Financial decisions you make based on the service are at your own risk.

Some jurisdictions do not allow exclusion of certain warranties. In those jurisdictions, this disclaimer applies to the maximum extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law:

  • In no event will Thor, its owners, affiliates, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, revenue, savings, data, goodwill, or business opportunities, even if advised of the possibility.
  • Thor's aggregate liability for all claims arising out of or relating to the Service is limited to the greater of: (a) the total amounts you paid to Thor in the 12 months preceding the claim, or (b) USD $100.
  • This limitation applies regardless of legal theory (contract, tort, statute, or otherwise).

Mandatory consumer protections: If you are a consumer in a jurisdiction with mandatory consumer protection laws (e.g., EU, UK, Brazil, Australia), this section applies only to the extent permitted by such laws. Your statutory rights are not affected.

14. Binding Arbitration & Class Action Waiver

⚠️ Important — Please Read Carefully

This section requires you to resolve disputes with Thor through individual binding arbitration, not in court, and waives your right to a jury trial and to participate in class actions. It applies only where enforceable under your jurisdiction's laws.

14.1. Agreement to Arbitrate

You and Thor agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved by binding individual arbitration, except as provided below.

14.2. Arbitration Rules and Venue

  • US residents: Arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Venue: your county of residence. Language: English.
  • Other regions: Arbitration administered by the International Chamber of Commerce (ICC) under its Rules of Arbitration. Seat: São Paulo, Brazil. Language: English (or Portuguese, by mutual agreement).

14.3. Class Action Waiver

You and Thor agree to bring claims only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims of multiple parties.

14.4. Exceptions

The following are NOT subject to arbitration:

  • Small-claims court matters within applicable jurisdictional limits;
  • Injunctive relief for intellectual property infringement or breach of confidentiality;
  • Claims that cannot lawfully be subject to mandatory arbitration in your jurisdiction (e.g., certain consumer claims in the EU/UK/BR);
  • Government agency enforcement actions.

14.5. Opt-Out

You may opt out of arbitration by sending written notice to suporte@meuthor.com.br within 30 days of first agreeing to these Terms, stating your name, email, and intent to opt out. Opting out does not affect other provisions of these Terms.

14.6. Severability

If the class action waiver is found unenforceable as to any claim, that claim must proceed in court, but the rest of this Section remains in effect.

15. Governing Law

  • Default: These Terms are governed by the laws of the Federative Republic of Brazil.
  • US users: For Section 14 (Arbitration), the Federal Arbitration Act (FAA) governs.
  • EU/UK consumers: Mandatory consumer protection laws of your country of residence apply to the extent more protective.
  • Forum (non-arbitrable claims): Courts of the District of Santo André, São Paulo, Brazil, with exceptions where mandatory consumer protection assigns jurisdiction to the consumer's domicile.

16. Termination

You may close your account anytime in app settings, free of charge. We may suspend or terminate your access if you violate these Terms, with prior notice when feasible.

Upon termination, your data is deleted per the Privacy Policy, subject to legal retention. Sections 7 (license to retained content), 11 (IP), 12 (Disclaimers), 13 (Liability), 14 (Arbitration), 15 (Governing Law), and 18 (General) survive termination.

17. Changes to these Terms

We may revise these Terms at any time. The current version is at meuthor.com.br/terms. Material changes will be notified at least 30 days in advance via in-app notice and email. Continued use after the effective date constitutes acceptance. If you disagree, stop using the Service before the effective date.

18. General Provisions

  • Entire agreement: These Terms, plus the Privacy Policy, constitute the complete agreement between you and Thor.
  • Severability: If any provision is held unenforceable, the rest remains in effect.
  • No waiver: Failure to enforce any provision is not a waiver.
  • Assignment: You may not assign these Terms. Thor may assign them to an affiliate or in connection with a merger or sale.
  • No third-party beneficiaries.
  • Force majeure: Thor is not liable for delays or failures due to causes beyond its reasonable control.
  • Apple App Store users: You acknowledge that Apple is a third-party beneficiary of these Terms with the right to enforce them against you, and that the Service is licensed (not sold) under the standard Apple End User License Agreement.
  • Notices: We may notify you via in-app, email, or a notice on this page. You may notify us at suporte@meuthor.com.br.
